Suspension and cancellation of listing and trading

Further to the prospectus and offer document published by New FCPT Limited ('New FCPT') on 5 June 2009 in relation to the recommended offer by New FCPT for all the issued share capital of F&C Commercial Property Trust Limited ('FCPT'), New FCPT and FCPT remind shareholders that the first closing date for acceptance of the offer is 1.00 pm (London time) on Friday 26 June 2009.  

As set out in the prospectus and offer document, upon New FCPT receiving acceptances in respect of 90 per cent. or more of the issued share capital of FCPT and the offer becoming unconditional, FCPT will apply for the suspension and then the cancellation of the listings of its ordinary shares and trading in those shares on the London Stock Exchange and Channel Islands Stock Exchange. The suspension is expected to become effective two business days after the offer becomes unconditional and at the same time as the first share for share exchange occurs and the new ordinary shares in New FCPT are issued and admitted to listing on the Official List of the UKLA and to trading on the main market of the London Stock Exchange. The cancellation of the listings and trading of shares in FCPT is expected to take place twenty business days thereafter.  

Therefore, as set out in the prospectus and offer document, shareholders should be aware that, if they do not wish to run the risk of holding an unlisted investment in FCPT, they should either accept the offer in accordance with the procedure set out in the offer document, or transfer their shares, prior to 1.00 pm (London time) on Friday 26 June 2009.
