RESULT OF 2009 GENERAL MEETING

The Board of Ted Baker is pleased to announce that at the General Meeting held today, the resolutions set out in the notice of meeting dated 13 May 2009 appearing in the circular to shareholders of the company of the same date were passed by the requisite majorities of Ted Baker shareholders.

The results of the poll on Resolution 1 to approve the waiver of Rule 9 of the City Code on Takeovers and Mergers granted by the Panel on Takeovers and Mergers, conditional on the passing of that resolution on a poll of independent shareholders, were 13,453,601 shares for the resolution (representing 62.17% of shares voted) and 8,184,694 shares against the resolution (representing 37.83% of shares voted). The votes for the resolution were cast by 65 shareholders representing 55.56% in number of those voting.

If Ted Baker exercises the full authority granted pursuant to Resolution 2, set out in the notice of meeting dated 13 May 2009, to purchase back its own shares up to 4,160,465 ordinary shares (representing approximately 10 per cent. of the company's issued share capital) the holding of Raymond Kelvin, Chief Executive of Ted Baker, will as a result increase to approximately 44.17 per cent. of the voting rights in the company.
