Exercise of Options and Application for AIM Admission

Further to the announcement made on 8 May 2009 regarding the recommended cash offer to be made by Advanced Computer Software Plc ('ACS') to acquire the entire issued and to be issued share capital of BSG other than certain BSG Shares which have been conditionally acquired by ACS outside the offer ('the Offer'), ACS has also made an offer to holders of options in BSG ('the Offer to Option Holders'). As the Offer has now been declared wholly unconditional in all respects, the Company has received notification that 7,536,470 options have been exercised in order to accept the Offer to Option Holders. 

BSG therefore announces that it has applied for the admission to trading on AIM of 1,106,267 new ordinary shares of 5 pence each in the Company ('Ordinary Shares'). Application is being made for the new Ordinary Shares to be issued in order to part satisfy the exercise of 7,536,470 options. Of the remaining 6,430,203 options not satisfied by the issuance of new Ordinary Shares, 213,863 will be satisfied through the Employee Benefit Trust and 6,216,340 will be satisfied by shares currently held in treasury ('Treasury Shares'). 

The Treasury Shares moved out of treasury on 12 June 2009. Following this transition, the Company no longer holds any shares in treasury. 

The new Ordinary Shares will rank pari passu with the existing Ordinary Shares of the Company. Trading is expected to commence on AIM on 18 June 2009.  Following the exercise and satisfaction of 7,536,470 options the issued share capital of the Company will be 85,503,095 Ordinary Shares. 

The above figure of 85,503,095 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
