N BROWN GROUP PLC

Application has been made to the London Stock Exchange and the UK Listing Authority for a Block listing of 3,000,000 Ordinary shares of 11 1/19p each of N Brown Group plc to be admitted to the Official List.  

The shares will be listed in connection with the following schemes: The N Brown Group plc Savings-Related Share Option Scheme 2000, the N Brown Group plc Long-Term Incentive Plan (2004 revised) version, The N Brown Group plc Company Share Option Plan, The N Brown Group plc Unapproved Discretionary Share Option Scheme 2000 and the N Brown Group plc Deferred Annual Bonus Scheme. Of the shares, it is expected that 500,000 will be issued pursuant to The N Brown Group plc Savings-Related Share Option Scheme, 1,500,000 will be issued pursuant to The N Brown Group plc Long-Term Incentive Plan (2004 revised) version, 450,000 will be issued pursuant to the N Brown Group plc Company Share Option Plan, 250,000 will be issued pursuant to the N Brown Group plc Unapproved Discretionary Share Option Scheme 2000 and 300,000 will be issued pursuant to the N Brown Group plc Deferred Annual Bonus Scheme. 

The shares will rank pari passu in all respects with the existing issued ordinary share capital of the company.
