Result of Extraordinary General Meeting

The board of Carlton announces that at the extraordinary general meeting held earlier today, all of the resolutions set out in the notice of EGM posted to shareholders on 12 May 2009 were duly passed.

Accordingly, the reorganisation of the Company's share capital will take place so that the ordinary shares of 0.5 pence each will be redesignated as New Ordinary Shares of 0.1 pence each and Deferred Shares of 0.4 pence each.  Furthermore, the new articles of association of the Company have been adopted and are available on the Company's website, www.carltonresourcesplc.com. 

The Company expects to complete the Placing and the issue of the Strand Shares, as set out in the circular to shareholders dated 12 May 2009 (the 'Circular') and the announcement of 12 May 2009 ('Announcement'). The Placing is expected to be completed by 19 June 2009, and application will be made for the Placing Shares and the Strand Shares to be admitted to trading on AIM on 25 June 2009.

The Placing Shares and the Strand Shares will rank parri passu with the New Ordinary Shares.  Following the issue of the Placing Shares and the Strand Shares, the Company will have 423,622,720 New Ordinary Shares in issue.

As set out in the Announcement, the Board conditionally granted share options over, in aggregate, 61,668,400 ordinary shares in the capital of the Company to certain Directors and consultants of the Company. The passing of Resolution 5 at the EGM held earlier today means that these options have today been granted as set out the Announcement.
