('Integrated' or the 'Company')

 

Result of General Meeting and adjournment of Class Meeting

 

On 19 May 2009, the Company posted a circular (the 'Circular') to shareholders providing full details of the sale of the majority of its fund of hedge fund business to Sal. Oppenheim (France) (the 'Disposal') and seeking approval for the Disposal, cancellation of 11,496,111 ordinary shares of 5p each held by Sal. Oppenheim jr. & Cie. S.C.A. ('Sal. Opp jr.') in the capital of the Company and the reduction of the share premium account. The Circular included a notice of a general meeting of the Company ('General Meeting') and a separate class meeting of the holders of ordinary shares of 5p each in the capital of the Company save for Sal. Opp. jr. ('Class Meeting').

 

The Directors of the Company are pleased to announce that all resolutions proposed at the General Meeting held today were duly passed. 

The Directors of the Company announce that at the Class Meeting held today a quorum of members was not present and, as a result, the Chairman proposed to adjourn the Class Meeting to a date to be notified by the Company to shareholders.  

 

The Disposal remains conditional, inter alia, upon the receipt of certain regulatory approvals from the Autorité des Marchés Financiers and the Financial Services Authority and the approval of the proposed capital reduction by the Court. The hearing of the Court to approve the proposed share premium reduction and capital reduction is scheduled to take place on 8 July 2009.
