As a result of the conversion of 3,600 Convertible Preferred Ordinary Shares of 100p each ('CPO Shares') into 7,488 Ordinary Shares of 1p each during May 2009, the Company's issued share capital at 
31 May 2009 was: 

89,725,756    Ordinary Shares of 1p each         

14,072,191    Cumulative Convertible Preferred Ordinary Shares of 100p each

16,794,412    Cumulative Convertible Preference Shares of 60p each 

486,459,659   Deferred Shares of 1p each

Cumulative Convertible Preference Shares do not carry voting rights. Deferred Shares are not listed, are not transferable and carry no voting rights or substantive economic rights.  

The above figures for Ordinary Shares and CPO Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in voting rights under the FSA's Disclosure and Transparency Rules.

Application is being made for the 7,488 new Ordinary Shares of 1p each arising from these conversions to be listed with effect from 9 June 2009.
