Announcement on Resolutions of 

the First Meeting of the Fifth Session of the Board of Supervisors

The First Meeting of the Fifth Session of the Board of Supervisors of Zhejiang Southeast Electric Power Company Limited (the 'Company') was convened on 10 April 2009 at Zheneng Building, Hangzhou City, Zhejiang Province (the 'Meeting').  Seven supervisors shall be present and six supervisors were present at the Meeting.  Supervisor Shi Jiwen was absent from the Meeting due to other business arrangements, who appointed Supervisor Hu Xing'er as proxy to attend the Meeting and vote on his behalf.  The Meeting was chaired by Mr. Huang Lixin, supervisor of the Company.  The convening of the Meeting was in compliance with the stipulations of the Company Law, the articles of association of the Company and relevant laws and regulations.

Proposal Regarding Election of the Chairman of the Board of Supervisors of the Company was reviewed and approved at the Meeting, and Mr. Huang Lixin was elected Chairman of the Board of Supervisors of the Company.

Voting results: votes in favour of the resolution: 7 votes; votes against the resolution: 0 vote; votes abstained: 0 vote.
