Announcement on Resolutions of 

the First Meeting of the Fifth Session of the Board of Directors

 

The First Meeting of the Fifth Session of the Board of Directors of Zhejiang Southeast Electric Power Company Limited (the 'Company') was convened on 10 April 2009 at Zheneng Building, Hangzhou City, Zhejiang Province, by way of a written notice issued on 3 April 2009 (the 'Meeting').  Fifteen directors shall be present and fifteen directors were present at the Meeting. The supervisors of the Company were present at the Meeting.  The Meeting was chaired by Mr. Mao Jianhong, Chairman of the Company.  The convening of the Meeting was in compliance with the stipulations of the Company Law, the articles of association of the Company and relevant laws and regulations.

The following proposals were reviewed and approved at the Meeting:

 

1.      Proposal Regarding Election of the Chairman of the Company was reviewed and approved, and Mao Jianhong was elected Chairman of the Company;

Voting results: votes in favour of the resolution: 15 votes; votes against the resolution: 0 vote; votes abstained: 0 vote.

2.   Proposal Regarding Election of the Vice Chairman of the Company was reviewed and approved, and Gu Biquan was elected Vice Chairman of the Company;

Voting results: votes in favour of the resolution: 15 votes; votes against the resolution: 0 vote; votes abstained: 0 vote.

3.  Proposal Regarding Composition of Sub-committees of the Fifth Session of the Board of the Company was reviewed and approved, which are as the follows:  

Strategy Committee:  Mao Jianhong (director), Gu Biquan, Zhang Qian, Cao Lu, Xing Junjie, Chen Jimin, Yao Xianguo, Qiu Guofu, Shou Desheng and Sun Weiheng;   

Audit Committee: Wo Jian (director), Wang Lina, Fu Qiyang, Yao Xianguo and Yan Weimin;

Remuneration and Assessment Committee:  Qiu Guofu (director), Cao Lu, Liu Hong, Chen Jimin, Wo Jian and Yan Weimin.    

Voting results: votes in favour of the resolution: 15 votes; votes against the resolution: 0 vote; votes abstained: 0 vote

4. Proposal on Appointment of Senior Management of the Company was reviewed and approved, and Shou Desheng was appointed as President of the Company, Xia Jinghan was appointed as Vice President and Secretary to the Board, and Hu Senjian was appointed as Chief Accountant of the Company.     

Voting results: votes in favour of the resolution: 15 votes; votes against the resolution: 0 vote; votes abstained: 0 vote

5. Proposal on Transfer of Equity Interest in Zhejiang Provincial Natural Gas Development Co., Ltd.

In the essence of Minutes of the Ming to Enhance Cooperation between People's Government of Zhejiang Province and China Petrochemical Corporation, it was agreed that the Company will transfer its ownership of 10% equity interest in Zhejiang Provincial Natural Gas Development Co., Ltd. to China Petrochemical Corporation, and that the Company will enter into Equity Transfer Framework Agreement with China Petrochemical Corporation.  After the availability of appraisal report and conclusion of draft Equity Transfer Framework Agreement, the Proposal will be submitted for further approval at the Board meeting.

Appendix: Profile of Non-director Senior Management of the Company

Xia Jinghan, female, born in 1969, Master in Economics, Senior Economist.  Ms. Xia held positions, e.g. Senior Staff Member, later, Deputy Section Chief (person-in-charge of daily work) at Finance Division of Zhejiang Provincial Development and Reform Commission. Ms. Xia is presently Vice President and Secretary to the Board of Zhejiang Southeast Electric Power Company Limited.

Hu Senjian, male, born in 1955, associate degree holder, Senior Economist. Mr. Hu held positions, e.g. Section Chief and Director-level Accountant at the Production Business Accounting Dept. of Finance Division of Zhejiang Electric Power Bureau.  Mr. Hu is presently Chief Accountant of Zhejiang Southeast Electric Power Company Limited.
