Offer for Subscription  - Supplementary Prospectus

Octopus Protected VCT  2 plc  (the "Company") announces  that it  has
today published a  supplementary prospectus in  respect of the  Offer
for Subscription (the "Offer") of up to 25,000,000 Ordinary Shares of
10p each in the capital of the Company at an issue price of 100p each
payable in full on application (the "Supplementary Prospectus").

Further to the Supplementary Prospectus,  the Offer, which opened  at
8.00 am on 17 July 2008 and was  to close no later than 5.00 pm on  3
April 2009, is to be  extended to close no later  than 5.00 pm on  30
June 2009  (or  such  earlier  date  on  which  the  Offer  is  fully
subscribed).

The Supplementary  Prospectus has  been approved  by the  UK  Listing
Authority and  will be  available shortly  for inspection  at the  UK
Listing Authority's Document Viewing Facility, which is situated at:
