ROTORK p.l.c. - VOTING RIGHTS AND CAPITAL

In conformity with the FSA's Disclosure and Transparency Rule 5.6, we wish to notify the market of the following as at 28 February 2009.

Rotork p.l.c.'s capital consists of 86,515,171 ordinary shares with voting rights. Rotork p.l.c. holds no treasury shares.

Therefore the total number of voting rights in Rotork p.l.c. is 86,515,171.
