('Gladstone' or 'the Company')
Results of the Annual General Meeting
At the Annual General Meeting of the Company held this morning at 10.00 am, resolutions 1 and 4 were duly passed and resolutions 2, 3, 5, 6 and 7 were not passed.
In respect of resolution 2, to re-appoint UHY Hacker Young LLP as auditors to the Company, the resolution was not passed. The Directors had already initiated a review and will now seek to appoint alternative auditors to the Company. The Board would like to thank UHY Hacker Young LLP for its advice and service over the years.
In relation to resolution 3, to re-elect Nicholas Montgomery as a Director of the Company, this resolution was not passed. Mr Montgomery ceased to be a Director at the conclusion of the meeting. The rest of the Board would like to record their extreme gratitude for the effort and significant contribution Mr Montgomery has made to the Company since his appointment. He remains as company secretary and an employee of the Company.
Resolutions 5 and 6 relating to the market purchase of shares and the authority to sell treasury shares on a non pre emptive basis were not passed.
Resolution 7, to adopt new articles of association of the Company, was also not passed. The new articles of association had been drafted to ensure that the articles were appropriate for a public company under current legislation including being compliant with the Companies Act 2006.
