REQUISITION BY CONSTELLATION SOFTWARE INC ('CONSTELLATION') FOR A GENERAL MEETING TO APPOINT CONSTELLATION'S CHAIRMAN AND PRESIDENT AS A DIRECTOR OF GLADSTONE
The Board of Gladstone announces that, on 26 January 2009, it received a further letter (the 'Requisition') from Pershing Nominees Limited ('Pershing'), acting as nominee of Constellation, requiring the convening of a general meeting pursuant to section 303 of the Companies Act 2006 (the 'Act') for the purpose of considering a resolution to appoint Mark Leonard, Constellation's chairman and president, as a director of Gladstone.
This Requisition replaces the original letter received on 6 January 2009 from Pershing, which included a defect in the proposed form of resolution to be considered by shareholders at the requisitioned meeting. The Board will shortly be writing to shareholders with its full response to the Requisition and giving notice of the general meeting.
In the meantime, the Board wishes to restate its belief that Constellation would have nothing to add to Gladstone but a great deal to gain at the expense of other Gladstone shareholders by having a seat on the Board.
