                                                                                         Director Shareholding

The Company was notified today of the following transactions by Directors:

On the 18 December 2008, Ian Henson ('Mr Henson'), Finance Director, purchased 8,000 ordinary shares of 1p each in the Company ('Ordinary Shares') at a price of 52 pence per share. As a result of this transaction Mr Henson is now interested in 229,652 Ordinary Shares representing 2.0% of the issued share capital of the Company. 

On the same day, Charles Gillespie ('Mr Gillespie'), Director, purchased 8,000 Ordinary Shares at a price of 52 pence per share. As a result of this transaction Mr Gillespie is now interested in 286,690 Ordinary Shares representing 2.5% of the issued share capital of the Company.

The total number of voting shares in Cavanagh Group PLC is 11,597,047.
