At a Board meeting of Sunrise Diamonds plc held on 8 December 2008, the Board resolved to issue 6,000,000 warrants to employees and directors of the Company. The issue included the following Directors:

P.Cheetham :   2,000,000

F.Johnstone :   1,000,000

N.Herbert :      1,000,000

Each warrant is convertible to one new ordinary share at the price of 0.575 pence per share (the closing mid-market price on 8 December 2007) at any time within 4 years from 8 December 2009.

As a result of this issue of warrants the total number of warrants currently held by each Director is as follows:

P. Cheetham :   3,500,000

F. Johnstone :   2,000,000

N. Herbert :      2,000,000
