As a result of the conversion of 11,300 Convertible Preferred Ordinary Shares of 100p each ('CPO Shares') into 23,504 Ordinary Shares of 1p each during November 2008, the Company's issued share capital at 30 November 2008 was: 

89,699,380      Ordinary Shares of 1p each         

14,084,391      Cumulative Convertible Preferred Ordinary Shares of 100p each

16,795,412      Cumulative Convertible Preference Shares of 60 p each 

485,206,035    Deferred Shares of 1p each

Cumulative Convertible Preference Shares do not carry voting rights. Deferred Shares are not listed, are not transferable and carry no voting rights or substantive economic rights.  

The above figures for Ordinary Shares and CPO Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in voting rights under the FSA's Disclosure and Transparency Rules.

Application is being made for the 23,504 new Ordinary Shares of 1p each arising from these conversions to be listed with effect from 9 December 2008.
