 Circular re buy back of shares, loan to EBT and acquisition of shares by EBT  

Network Group Holdings plc announces that it is today posting a circular to
shareholders containing proposals for a buy back of shares from the Original
PPDG Shareholders, a loan to the Network Group Holdings Employee Benefit Trust
and the acquisition of shares by the EBT, and convening a general meeting to
consider these proposals at 11.00 am on 15 December 2008.
