Notice to the Holders of the £300,000,000 5.827 per cent. Step-up Callable Perpetual Preferred Securities (the Preferred Securities) issued by Alliance & Leicester plc (the Issuer)

Notice is hereby given to the Holders of the Preferred Securities that as of 10 October 2008 the Issuer has ceased to be the Ultimate Owner under the terms of a recommended acquisition by Banco Santander, S.A. of the entire issued and to be issued ordinary share capital of the Issuer which has been implemented by means of a scheme of arrangement under Part 26 of the Companies Act 2006.

Pursuant to Condition 8(d) (Suspension), the Issuer's right to satisfy a Payment by the method contemplated in Condition 6 (Alternative Coupon Satisfaction Mechanism) shall be suspended forthwith, such suspension to operate in accordance with the provisions of Condition 8(d) (Suspension). 

References to Conditions herein are references to the Terms and Conditions of the Preferred Securities and words and expressions defined in the Conditions shall have the same meanings where used herein.
