                              DIRECTOR'S DEALING                               

The Board of IncaGold plc (the "Company") announces that it received
notification that the ownership of Fox Capital Limited ("Fox") has changed. Fox
holds 288,489,274 ordinary shares in the Company representing approximately
76.44 per cent. of the Company's issued ordinary share capital. Fox is a
company in which Justin Martin and Roy Tilleard, both directors of the Company,
each previously had a 50 per cent. interest.

As a result of the change in ownership in Fox, Justin Martin no longer has a
beneficial interest in the ordinary shares of the Company, and Roy Tilleard's
beneficial interest has increased to 288,489,274 ordinary shares representing
76.44 per cent. of the Company's issued share capital.
