ZOO Digital Group plc

('ZOO' or the 'Company')

Result of Annual General Meeting ('AGM')

On 4 September 2008, ZOO Digital Group plc announced its preliminary results for the 12 months ended 31 March 2008 and a conditional agreement to raise £512,000 by placing 3,413,333 shares ('Placing Shares') at 15 pence per share (the 'Placing').

At ZOO's AGM, which took place earlier today, all resolutions proposed including those to effect the  Placing, were duly passed. 

The Placing remains conditional upon Admission. It is expected that the Placing Shares will be admitted to trading on AIM and that dealings will commence on 7 October 2008 whereupon there will be  21,326,421 ordinary shares of 15 pence each in issue.
