RECOMMENDED ACQUISITION OF ACAMBIS PLC BY SANOFI PASTEUR HOLDING BY WAY OF SCHEME OF ARRANGEMENT
REDUCTION OF CAPITAL, SCHEME TO BECOME EFFECTIVE AND CANCELLATION OF LISTING
Cambridge, UK and Cambridge, Massachusetts - 24 September 2008 - The Board of Directors of Acambis plc ('Acambis') (LSE:ACM) and Sanofi Pasteur Holding ('Sanofi Pasteur') are pleased to announce, in relation to the recommended Acquisition of Acambis by Sanofi Pasteur (which was approved by Acambis' Shareholders on 2 September 2008), that at the Reduction Court Hearing which was held earlier today, the Court confirmed the Capital Reduction under section 137 of the Companies Act 1985.
The Reduction Court Order will be registered with the Registrar of Companies prior to 9.00 am on 25 September 2008 and as a result the Scheme relating to the recommended Acquisition of Acambis by Sanofi Pasteur will become effective. The Scheme Court Order was filed with the Registrar of Companies on 23 September 2008.
The listing of Acambis' Shares on the Official List shall be cancelled and Acambis' Shares will cease to be admitted to trading on the London Stock Exchange from 8.00 am on 25 September 2008. Acambis' Shares were suspended from dealings on the London Stock Exchange at 5.00 pm on 23 September 2008.
Unless the context otherwise requires, terms defined in the Scheme document sent to Acambis' Shareholders on 9 August 2008 have the same meaning in this announcement.

Dealing disclosure requirements
Under the provisions of Rule 8.3 of the City Code, if any person is, or becomes, 'interested' (directly or indirectly) in 1% or more of any class of 'relevant securities' of Acambis, all 'dealings' in any 'relevant securities' of Acambis (including by means of an option in respect of, or a derivative referenced to, any such 'relevant securities') must be publicly disclosed by no later than 3.30pm (London time) on the Business Day following the date of the relevant transaction. This requirement will continue until the Scheme becomes effective or the offer lapses or is otherwise withdrawn or the date on which the 'offer period' otherwise ends. If two or more persons act together pursuant to an agreement or understanding, whether formal or informal, to acquire an 'interest' in 'relevant securities' of Acambis, they will be deemed to be a single person for the purpose of Rule 8.3 of the City Code.
Under the provisions of Rule 8.1 of the City Code, all 'dealings' in 'relevant securities' of Acambis by Acambis or Sanofi Pasteur, or by any of their respective 'associates' must be disclosed by no later than 12.00 noon (London time) on the Business Day following the date of the relevant transaction.
A disclosure table, giving details of the companies in whose 'relevant securities' 'dealings' should be disclosed, and the number of such securities in issue, can be found on the Panel's website at www.thetakeoverpanel.org.uk.
'Interests in securities' arise, in summary, when a person has long economic exposure, whether conditional or absolute, to changes in the price of securities. In particular, a person will be treated as having an 'interest' by virtue of the 'ownership' or control of securities, or by virtue of any option in respect of, or derivative referenced to, securities.
