The Company has given notice to shareholders of its Annual General Meeting
("AGM") to be held on 4 September 2008 at which a resolution will be proposed to
adopt new Articles of Association.  The full terms of that resolution are set
out in the Explanatory note of principal changes in the Annual Report and
Accounts for the year ended 30 April 2008, which are available for download from
www.noblegp.com/services/invest/incomegrowth/literature.php.

In accordance with the Disclosure and Transparency Rule 6.1.2 a draft of the
proposed new Articles of Association has been submitted to the UK Listing
Authority and will shortly be available for inspection at the UK Listing
Authority's Document Viewing Facility which is situated at:-
