                              DIRECTORS' DEALING                               

The Board of IncaGold plc (the "Company") yesterday received notification that
10,711,190 ordinary shares in the Company had been transferred to Fox Capital
Limited as part settlement of a claim brought by Roy Tilleard against Richard
Holmes and Ataraxia Investments Limited. Fox Capital Limited, which is jointly
owned by its principals, Justin Martin and Roy Tilleard, both of whom are
directors of the Company, now has a beneficial interest in the Company of
221,718,147 ordinary shares representing 58.74% of the issued share capital.
