Directors' Shareholdings
The Company has been notified that both Sudarghara Dusanj (Chief Executive) and
Ajmail Dusanj (Chief Operating Officer) have today increased their shareholdings
in Cains, following the purchase of 150,000 ordinary shares each at a price of
8p.
Following these purchases Sudarghara Dusanj and Ajmail Dusanj have the following
beneficial interests in Cains:

1. Sudarghara Dusanj and Ajmail Dusanj, by virtue of being directors of Wayhill
Investments Limited are deemed both to be interested in Wayhill's holding of
20,400,000 ordinary shares in the Company, in addition to the holdings under
their own names of 33,506,517 ordinary shares each.
2. Sudarghara Dusanj and Ajmail Dusanj, by virtue of being directors of Stanhill
Investments Limited are deemed to both be interested in Stanhill's holding
of £1,500,000 of Convertible Unsecured Loan Stock in the Company ('Loan
Stock'), in addition to their holdings, under their own name of £500,000 of
Loan Stock each.
3. Sudarghara Dusanj and Ajmail Dusanj, Wayhill Investments Limited and Stanhill
Investments Limited are deemed to be a concert party for the purposes of The
City Code of Takeover and Mergers. Following these purchases the concert
party holds 57.84% of the issued share capital of the Company.
