('Zone-IP' or the 'Company')
Directors' shareholding
The Company has received notification that, earlier today, Dr Hans Wagner,
Non-Executive Chairman, purchased 5,338,816 ordinary shares in the Company at 9p
per share (subject to adjustment as set out below), equivalent to 10.44 per
cent. of the issued voting share capital of Zone-IP. Following the purchase, Dr
Wagner now holds 10,183,323 ordinary shares in the Company, equivalent to 19.92
per cent. of the issued voting share capital of Zone-IP.
In addition, the Company received notification that, earlier today, Tal
Barnoach, Executive Vice-Chairman, purchased 1,779,638 ordinary shares in the
Company at 9p per share (subject to adjustment as set out below), equivalent to
3.48 per cent. of the issued voting share capital of Zone-IP. Following the
purchase, Mr Barnoach now holds 3,394,474 ordinary shares in the Company,
equivalent to 6.64 per cent. of the issued voting share capital of Zone-IP.
In the event that Dr Wagner or Mr Barnoach receives, at any time in the future,
consideration for at least the above number of shares that exceeds the
equivalent of $20 million divided by the number of issued shares at that time
('the Basic PPS'), further consideration per share will be payable to the
Pitango Entities amounting to 10 per cent. of any excess over the Basic PPS.
The Company has also been notified that following the above transaction, the
Pitango Entities, as defined in the Company's admission document dated 31 May
2006 (including Pitango Venture Capital Fund III (Israeli Sub) L.P.), no longer
hold any ordinary shares in the Company.
