Further to the EGM held on 30 August 2007 at which the disposal of the Company's
assets was approved, the Company announces that it has today posted a circular
to shareholders convening an Extraordinary General Meeting ('EGM') to approve
proposals to facilitate the return of capital to shareholders, comprising the
reregistration of the Company under the Isle of Man Companies Act 2006, the
adoption of a new memorandum and articles of association and the adoption of a
capital return scheme to enable the proceeds of the disposals approved at the
EGM on 30 August 2007 to be returned to shareholders by way of a capital
distribution.
Subject to approval of the proposals at the EGM, the Company intends to make an
initial return of capital of EUR 0.94 per share to shareholders on or around 31
January 2008.
The EGM will be held at Jubilee Buildings, Victoria Street, Douglas, Isle of Man
IM1 2SH, British Isles on 21 December 2007 at 10.30 a.m. or, if later, ten
minutes after the termination of the Annual General Meeting of the Company
convened for the same date.
The notice of AGM and the circular relating to the EGM will be made available on
the Company's website (Website: www.europeanconvergence.com).
