Director shareholding

Premier Management Holdings PLC (the 'Company') has closed its employee benefit
trust and transferred the shares held by it to Barry Gold, the Company's
Chairman and only valid remaining beneficiary under the trust. The award has
also been made in recognition of the work Mr Gold has carried out for the
Company without remuneration for the previous two financial years.

As a result of the closure Mr Gold has acquired 1,115,000 ordinary shares of 1p
each ('Shares'), representing approximately 1.2% of the issued share capital of
the Company. Following this acquisition Mr Gold now holds 16,705,000 Shares
representing approximately 18.2% of the issued share capital of the Company.
