As required under the Listing Agreement entered into by us with your Stock
Exchanges, we wish to inform you that the shareholders of the Bank have approved
the Special Resolution by passing of the resolution by postal ballot as per
Section 192A(2) of the Companies Act, 1956 read with the Companies (Passing of
the Resolutions by Postal Ballot) Rules, 2001, for the purpose of increase of
share capital of the Bank by means of Rights and/or Public Issue as per Section
81/81A of the Companies Act, 1956.

Accordingly the results were announced today at 10 a.m. at the Registered Office
of the Bank at Federal Towers, Aluva - 683 101 and is displayed at the
Registered Office of the Bank, and posted on the Bank's website,
www.federalbank.co.in.
