                             Directors' Shareholdings

The Company announces that on  5th June 2007  Michael Hodges, Clem Chambers  and
Jonathan Mullins as part of the rearrangement of their personal  pensions and
shareholdings, each sold the number of On-line ordinary shares detailed in the
table below to their own personal SIPPS.

Following the transactions, each of Messrs Hodges, Chambers  and Mullins remain
beneficially interested in the same number of On-line ordinary shares as before
the transactions, the total numbers of which are given below.
