This announcement replaces the previous announcement (RNS 5197V) released at
15:11 (GMT) on 25 April 2007. The number  of shares which are subject to the
application for listing in the second paragraph and the ordinary shares in issue
post admission have been corrected.  All other details remain unchanged.  The
full amended text is shown below.


2waytraffic N.V. ('2waytraffic' or the 'Company'), announces that it has issued
224,839 shares to satisfy the exercise  of options granted to M-Capital Limited
at the time of the Company's Admission to AIM in April 2006.

Application has been made for the 224,839 ordinary shares of EUR 0.01 each in
the Company to be admitted to listing on  the London Stock Exchange's AIM
market.  It is expected that dealings will commence on 1 May 2007. Following
admission  of these shares to listing, 2waytraffic will have 130,621,002
ordinary shares in issue and admitted to listing.
