                     Total Voting Rights and Share Capital



For the purposes of the transitional provisions of the Financial Services
Authority's Disclosure and Transparency Rules, the total number of ordinary
shares of 1p of Inveresk plc in issue as at the date of this notice is
143,804,750 with each share carrying the right to one vote.

There are 1,500,000 ordinary shares of 1p of Inveresk plc held in treasury.

The total number of voting rights in Inveresk plc is therefore 142,304,750.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Inveresk plc, under the
Disclosure and Transparency Rules.
